THESE CONDITIONS OF SALE ARE LEGALLY BINDING ON YOU.

PLEASE READ THEM CAREFULLY.

SELLING OFFICER

The Madison County Sheriff is conducting this sale online, as a court-appointed selling officer, on an auction website owned and operated by Roup LLC, the Sheriff’s authorized technology vendor.  Roup is not the selling officer.

DEFINED TERMS

The following defined terms have the following meanings in these Conditions of Sale.

“Disclaiming Parties” means the County of Madison, the Madison County Sheriff’s Office, Roup LLC, and each of their respective elected and appointed officials, officers, employees, contractors, vendors, and agents.

“Service” means the online auction services provided by Roup LLC, including access to and use of the System through the Website or other interfaces and all related features and functionality.

“System” means the proprietary software, technology, and infrastructure used by Roup LLC to provide the Service, including the auction platform, bidding engine, databases, and related systems.

“Website” means the branded online interface made available as part of the Service, including all web pages and interactive functionality, through which users access and use the Service.

BINDING AGREEMENT

By accessing and using the Website or by asking the Sheriff to conduct the sale of this property, you agree to be bound by these Conditions of Sale and to the Terms of Use posted on www.roup.com, which are incorporated into these Conditions of Sale by reference.

CAPACITY TO CONTRACT

You represent and warrant that you have the legal capacity to form a binding contract.  Also, if you are acting on behalf of a client or a corporate or other legal entity, you represent and warrant that you are authorized to agree to these Conditions of Sale on behalf of that client or entity.  If you are acting on behalf of a client or corporate or other legal entity, then, except where the context requires otherwise, the references to “you” and “your” in these Conditions of Sale refer to that client or entity.

PREREQUISITES TO BIDDING

To bid on this property, you must have an account with Roup.  Once you have an account, you then must register to bid on this property using your account’s login credentials.

Pursuant to 735 ILCS 5/15-1507.2, you must undergo an identity verification process before you may bid on a property.  Your identity is required to be verified only once.

BIDDING

Anyone may enter the opening bid.  Bidding does not need to start with the plaintiff’s opening bid.

Your bid constitutes an irrevocable offer to purchase the property at the amount of your bid, subject to these Conditions of Sale and approval by the court that ordered the sale of this property.  

Your bid may be subject to a minimum bid increment.  The system will indicate the minimum bid increment if one is applicable.

You may enter a maximum bid.  A maximum bid is the highest amount you authorize the system to bid on your behalf.  If you enter a maximum bid, then, as other bids are entered, the system will automatically place higher bids on your behalf in minimum increments until your maximum bid is reached.  All bids placed automatically by the system are binding upon you as if you had entered them manually.

If more than one person enters the same bid, the bid entered first as determined by the auction system will have priority.

You are responsible for the accuracy of all your bids.  You are also responsible for maintaining the confidentiality of your login credentials.  All bids entered using your account will be deemed to have been entered by you.

You will have an opportunity to review and confirm your bid before you submit it.  Make sure your bid is correct, as all bids are final upon submission. Neither the Sheriff nor Roup will have any obligation to change or cancel a bid entered incorrectly or by mistake.

EXTENSION OF THE AUCTION

If bidding occurs in the final moments of the auction, the auction will be extended for successive periods of time to give everyone a fair chance to bid.  This extension of time is called the “anti-snipe period.” The auction will end after no bidding occurs during the anti-snipe period.

AUCTION CANCELLATION AND POSTPONEMENT

This auction might be cancelled or postponed at any time.

WINNING BIDDER

The winning bidder is the person who submits the highest bid for the property and complies with these Conditions of Sale, unless such compliance is waived. The Sheriff will identify the winning bidder for the purpose of reporting the results of the sale to the court and others.  The court has final authority to determine the winning bidder.

COURT APPROVAL

The sale of the property is contingent upon the court’s approval of the sale. The court’s decision on the matter might take a significant amount of time, as the court’s decision depends in part on when the attorney for the judgment creditor files a motion to approve the sale.  The court might not approve the sale.  If the court does not approve the sale, you might experience a delay in obtaining a refund of your purchase price, as the Sheriff will not issue a refund until the court enters an order directing the Sheriff to issue a refund.

NO CONTINGENCIES

Aside from the court’s approval of the sale, the property is being sold without any contingencies.

PAYMENT OF SHERIFF’S FEES 

Pursuant to 55 ILCS 5/4-5001 and 735 ILCS 5/15-1507.2, the fee for this auction is $1,000, unless the auction is canceled, in which case the fee is $700.  The party who requested the sale is responsible for payment of the Sheriff’s fee in full as set forth in the previous sentence.  All payments shall be made by electronic means via Stripe or by check in accordance with separate payment instructions provided by the Sheriff or Roup.

PAYMENT OF PURCHASE PRICE

You have 24 hours to pay the amount due, starting when the auction ends.  However, in accordance with 735 ILCS 5/15-1507.2(n)(4), which authorizes the Sheriff to establish the payment deadline, the Sheriff may extend this deadline on a case-by-case basis in the interest of upholding the sale or if the Sheriff determines that an extension of time is otherwise justified.

Certified checks and cashier’s checks are acceptable forms of payment; personal checks will not be accepted.  All checks shall be made payable to the Madison County Sheriff’s Office.

FAILURE TO PAY

If you fail to meet a payment obligation, your account with Roup might be suspended or terminated and you might also be required to pay an account reinstatement fee.  These potential consequences are not exclusive.  You will remain subject to all other consequences provided by law.

NO ACCESS TO THE PROPERTY

You are not allowed to access the property or disturb the occupants.  Neither the Sheriff nor Roup has authority to grant you permission to access the property.

SHERIFF’S DEED

The buyer, as determined by the court in approving the sale, is responsible for preparing a deed for the Sheriff’s signature and for any other document related to the conveyance of title to the property.  The buyer is also responsible for recording the deed and for payment of all fees and other amounts that might be owed in connection with the conveyance of title.  All buyers are advised to consult an attorney to ensure all legal requirements are met. Once prepared, the deed and other conveyance documents, as applicable, can be brought to the Sheriff's Office for signature.

KEYS AND EVICTION PROCEEDINGS

Eviction proceedings, if required, are not included in the sale of the property.  An eviction is a separate proceeding subject to a different process and separate fees.  If an eviction is required, the buyer of the property will be responsible for seeking an eviction and paying the applicable fees.

There are no keys to the property.  

DUE DILIGENCE OBLIGATION

You must perform your own due diligence on the property, including independently verifying all information regarding the property. The Disclaiming Parties make no representations or warranties as to the completeness or accuracy of any information regarding the property, and you acknowledge and agree that you are not relying on any statements, representations, or information provided by the Disclaiming Parties in deciding whether to participate in the auction.  The Disclaiming Parties have no liability for any errors or omissions regarding any information about the property.  All photographs of the property, if provided, are not guaranteed to be recent or to accurately depict the property.

PROPERTY SOLD “AS-IS”

This property is being sold in its existing “AS IS, WHERE IS, WITH ALL FAULTS” condition, with no expressed or implied guarantees, representations, or warranties whatsoever, and with all faults, defects, and limitations, whether apparent or not.  You agree to assume all risks associated with purchasing this property.  You agree to accept the property in whatever state and condition the property is in, with all defects, both patent and latent, and with all faults, whether known or unknown, whether existing at the time of your purchase or arising thereafter.

TITLE AND PROPERTY TAX DISCLAIMER

This property is being sold without any representations or warranties from the Disclaiming Parties regarding title and whether property taxes or assessments are due and owing.  The property might not be free and clear of liens, claims, interests, or other matters relating to title, and property taxes or assessments might be due and owing.  You are responsible for conducting your own investigation of title to the property and for determining whether any unpaid property taxes or assessments are or will be due and owing.

DISCLAIMER REGARDING TECHNICAL ISSUES

The Disclaiming Parties are not responsible for any bidding issues, delays, or errors caused by system latency, connectivity issues, internet failures, computer malfunctions, or software bugs or errors.  If the fairness of the auction has been adversely affected by one or more of these issues, the Sheriff may take steps to address the issue, including suspending, extending, or canceling the auction.

DISCLAIMER OF WARRANTIES

The Service, Website, and System are provided on an “AS IS,” “AS AVAILABLE,” and “WITH ALL FAULTS” basis. To the fullest extent permitted by law, with respect to the Service, Website, and System, the Disclaiming Parties hereby disclaim all warranties, express or implied, including without limitation warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, reliability, and availability. The Disclaiming Parties do not warrant that the Service, Website, or System will be uninterrupted, error-free, secure, or free of viruses or other harmful components, or that defects will be corrected. You assume all risks arising from your use of the Service, Website, and System.

LIMITATION OF LIABILITY

To the fullest extent permitted by law,  in no event shall the Disclaiming Parties be liable to you or any third party for any damages of any kind arising out of or relating to the Service or your use of, or inability to use, the Service, Website, or System, including without limitation any direct, indirect, incidental, consequential, special, or punitive damages, or any loss of data, profits, or business, whether based in contract, tort (including negligence), strict liability, or otherwise, regardless of whether such damages were foreseeable or whether the Disclaiming Parties were advised of the possibility of such damages, and notwithstanding any failure of essential purpose of any limited remedy.  This limitation applies to all claims, including those arising from any failure of performance, error, omission, interruption, defect, delay in operation or transmission, computer virus, or line or system failure.

CAP ON LIABILITY

To the fullest extent permitted by law, if, notwithstanding the foregoing, any of the Disclaiming Parties is found liable for any claim arising out of or relating to the Service, Website, or System, the total aggregate liability of all Disclaiming Parties shall not exceed the amount of Sheriff’s fees charged by the Sheriff for this auction.
